These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and SIMNETIQ LTD ("Company", "we", "us", or "our"), a company registered in England and Wales (Company Number 16861177), with its registered office at 2 Frederick Street, Kings Cross, London, WC1X 0ND, United Kingdom. These Terms govern your access to and use of DopplerVPN (our VPN application available on iOS, Android, and Windows), our AI-powered video generation tool, and all related websites, applications, and services (collectively, the "Services"). By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Service Description

We provide two categories of digital services: (a) DopplerVPN — a virtual private network application that encrypts your internet connection using the VLESS-Reality protocol, masks your IP address, and provides DNS-level ad blocking and content filtering with parental controls. DopplerVPN is available on iOS, Android, and Windows. (b) AI Video Generation — a web-based tool that uses artificial intelligence to generate video content based on user-provided prompts and settings. Both Services are provided on a subscription basis as software-as-a-service ("SaaS"). The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

2. Eligibility

You must be at least 16 years of age (or the age of majority in your jurisdiction, whichever is greater) to use our Services. By using the Services, you represent and warrant that you meet the applicable age requirement and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Accounts and Registration

DopplerVPN does not require personal registration — accounts are identified by a randomly generated identifier. For our AI Video Generation tool, you may be required to create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@simnetiq.store if you become aware of any unauthorised use of your account.

4. Subscriptions, Payments, and Billing

Access to premium features requires a paid subscription. DopplerVPN Premium includes access to premium VPN servers in 50+ locations, DNS-level ad blocking, content filtering with parental controls, and connection on up to 10 devices simultaneously. Subscriptions are available on monthly, 6-month, and annual billing cycles. Payment processing: web subscriptions are processed by Revolut Ltd. Mobile subscriptions are processed through Apple App Store (iOS) or Google Play Store (Android). Subscriptions auto-renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. You may cancel your subscription at any time: for web subscriptions, by contacting us at support@simnetiq.store; for mobile subscriptions, through your device's app store settings. Cancellation takes effect at the end of the current billing period — you will continue to have access until then. Prices may change from time to time; we will provide reasonable notice of price increases before they take effect. All prices are displayed inclusive of applicable taxes where required by law.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations. You shall not: (a) use the Services for any illegal activities or to facilitate illegal conduct; (b) attempt to circumvent, disable, or interfere with security features of the Services; (c) distribute malware, viruses, or any harmful code through the Services; (d) infringe upon the intellectual property rights of any third party; (e) use the AI Video Generation tool to create content that is defamatory, obscene, fraudulent, or that violates the rights of others; (f) use the Services to send spam or unsolicited communications; (g) reverse engineer, decompile, or disassemble any part of the Services; or (h) resell, sublicense, or commercially exploit the Services without our written consent. We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice depending on the severity of the violation.

6. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, designs, trademarks, logos, and content, are owned by or licensed to SIMNETIQ LTD. Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to use the Services for personal or internal business purposes during the subscription term. For the AI Video Generation tool: you retain ownership of the prompts you provide, and subject to these Terms and applicable law, you are granted a licence to use the generated video content for your own purposes. We retain no ownership over your generated content, but we reserve the right to use anonymised, aggregate data about usage patterns to improve our Services.

7. Limitation of Liability

To the maximum extent permitted by applicable law, SIMNETIQ LTD and its directors, officers, employees, and agents shall not be liable for: (a) any indirect, incidental, special, consequential, or punitive damages; (b) any loss of profits, revenue, data, or business opportunities; (c) any damages arising from your use of or inability to use the Services; or (d) any damages arising from unauthorised access to or alteration of your transmissions or data. Our total aggregate liability for any claims arising from or related to these Terms or the Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

8. Indemnification

You agree to indemnify, defend, and hold harmless SIMNETIQ LTD and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third party's rights.

9. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or if we are required to do so by law. Upon termination: your licence to use the Services immediately ceases, you must stop using the Services, and we may delete your account data in accordance with our Privacy Policy. Termination does not affect any rights or obligations accrued prior to termination, including any obligation to pay outstanding fees. You may terminate your account at any time by cancelling your subscription and contacting us at support@simnetiq.store.

10. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that: (a) if you are a consumer in the European Union, you may also bring proceedings in the courts of your country of residence; and (b) nothing in these Terms affects your statutory rights as a consumer under the laws of your jurisdiction. For EU consumers: you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

11. Changes to Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will provide notice of material changes by posting the updated Terms on our website with a revised "Last updated" date and, where required by law, by email at least 30 days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Services and cancel your subscription.

12. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or the right to enforce it at a later time.
